Please read these Terms carefully. They form a binding agreement between you and RallyClip. If you do not agree, do not access or use the Service.
1. Service and operator
These Terms of Service (“Terms”) govern the RallyClip website at rallyclip.ai, the RallyClip macOS application, the closed beta, clip processing and export features, public or unlisted clip-sharing pages, and related services (collectively, the “Service”). The Service is operated by RallyClip.ai, a business based in Texas, United States (“RallyClip,” “we,” “us,” or “our”).
2. Acceptance
You accept these Terms by clicking to agree, joining the beta, installing or using the application, uploading or sharing a clip, viewing a shared clip, or otherwise accessing the Service. If you use RallyClip for an organization, team, school, club, or business, you represent that you are authorized to bind it, and “you” includes that organization.
3. Eligibility and minors
You must be at least 13 years old to use the Service. If you are under the age of legal majority where you live, you may use it only with permission and supervision from a parent or legal guardian who agrees to these Terms. RallyClip is not directed to children under 13, and children under 13 may not submit information, upload footage, or use the Service.
If footage includes a child or another person who cannot legally consent for themselves, the uploader is responsible for obtaining permission from that person’s parent, guardian, or other authorized representative before uploading or sharing it.
4. Closed beta and experimental features
RallyClip is currently a closed beta. Features may be incomplete, inaccurate, interrupted, changed, or withdrawn. Automated or AI-assisted detection can miss points, create incorrect boundaries, or otherwise produce imperfect results. You must review clips before relying on, publishing, or distributing them. We may impose limits on clip size, storage, features, or access and may reset or delete beta data as reasonably necessary to operate the Service.
Do not use RallyClip as the only copy or backup of important footage. Keep your original media and independent backups.
5. Your permission to use RallyClip
Subject to these Terms, RallyClip grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for lawful purposes. We and our licensors retain all rights in RallyClip, including its software, design, branding, models, documentation, and other materials, excluding your content.
You may not copy, sell, sublicense, reverse engineer, bypass technical protections, extract models or source code except where applicable law expressly permits it, or use the Service to build or train a competing product without written permission.
6. Your content and permissions
“Your Content” means video, audio, filenames, titles, metadata, and other material you upload, process, export, or share. As between you and RallyClip, you retain ownership of Your Content.
You grant RallyClip a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, transcode, process, analyze, display, and otherwise use Your Content solely to provide, secure, maintain, troubleshoot, and improve the Service and to comply with law. This license ends when the content is deleted from our systems, subject to reasonable technical, legal, and backup retention.
You represent and warrant that:
you own Your Content or have every permission necessary to upload, process, and share it;
Your Content and our permitted use of it do not violate privacy, publicity, intellectual-property, contractual, league, school, venue, employment, or other rights;
you have appropriate consent from identifiable players, coaches, spectators, and guardians of minors; and
Your Content is not unlawful, exploitative, abusive, deceptive, or harmful.
7. Shared clips
A shared clip is unlisted, meaning it is excluded from search indexing but remains accessible to anyone with its URL. Anyone who receives the URL can forward it to others. Recipients may also download, record, or otherwise redistribute the content, which RallyClip cannot control. Share links only with intended recipients, and do not upload sensitive footage that should not be accessible through a link.
We may remove shared clips for operational, legal, safety, or policy reasons. Current beta storage is not guaranteed to be permanent. To request removal of a clip, contact us and include the complete share URL. We may require proof that you uploaded the clip or otherwise have authority to remove it.
8. Acceptable use
You may not use RallyClip to:
break the law or violate another person’s rights;
upload sexual content involving minors, child sexual abuse material, non-consensual intimate imagery, stalking material, credible threats, or content that exploits or endangers anyone;
upload malware or interfere with, probe, overload, disrupt, or evade security, access, storage, or usage controls;
access another person’s non-public content without authorization;
scrape, automate, resell, or commercially exploit the Service except through functionality we expressly provide;
misrepresent affiliation, impersonate another person, or submit false information; or
use outputs as proof of identity, misconduct, eligibility, officiating decisions, or other high-impact determinations without independent review.
If you encounter content that may exploit a child or present an immediate safety risk, contact the appropriate authorities first, then notify us.
9. Privacy and analytics
Our Privacy Policy explains how we collect, use, disclose, and retain information. RallyClip uses Google Analytics 4, with consent where required, to measure use of the website and shared clips. This includes page views, beta-signup conversions, video play starts, watch-progress milestones, completion, and copy-link actions. We do not send names, email addresses, clip titles, source filenames, or unlisted share URLs to Google Analytics. Advertising storage and ad-personalization signals are disabled.
10. Copyright and other rights complaints
If you believe content on RallyClip infringes your copyright or other rights, email hello@rallyclip.ai with your contact information, identification of the protected work or right, the complete RallyClip URL, an explanation of the alleged violation, and a statement that your report is accurate and authorized. We may remove or restrict material while reviewing a report and may provide the report to the uploader where appropriate.
11. Third-party services and links
The Service depends on third parties, including hosting, email delivery, Apple platform services, and Google Analytics. Their services may be governed by separate terms and privacy policies. RallyClip may link to third-party sites but does not control or endorse their content, security, availability, or practices.
12. Suspension and termination
You may stop using RallyClip at any time. We may suspend, limit, or terminate access, remove content, or discontinue all or part of the Service when reasonably necessary to enforce these Terms, prevent harm, comply with law, protect rights or security, manage beta capacity, or operate the Service. Sections that by their nature should survive termination will survive, including ownership, licenses already required for lawful retention, disclaimers, liability limits, indemnity, and governing law.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” RALLYCLIP DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT CONTENT OR DATA WILL NOT BE LOST.
Some jurisdictions do not allow certain warranty exclusions. In that event, these exclusions apply only to the extent permitted by applicable law.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RALLYCLIP AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR CONTENT; OR UNAUTHORIZED ACCESS, INTERRUPTION, OR THIRD-PARTY CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID RALLYCLIP FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100.
These limits do not exclude liability that cannot lawfully be excluded, including rights and remedies available to consumers under mandatory law.
15. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless RallyClip and its affiliates, licensors, and service providers from claims, damages, losses, liabilities, and reasonable costs arising from Your Content, your use of the Service, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from RallyClip’s own unlawful conduct and does not limit non-waivable consumer rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law principles. Any dispute that is not subject to a non-waivable consumer forum right must be brought in the state or federal courts located in Houston, Texas, and each party consents to their jurisdiction. Before filing a claim, please contact us so we can attempt to resolve it informally.
If you are a consumer outside the United States, this section does not deprive you of protections or forums that the law of your country of residence makes mandatory.
17. Changes to the Service or Terms
We may modify the Service and these Terms. We will post revised Terms with a new effective date and provide additional notice when required by law. Material changes apply prospectively. Continuing to use the Service after revised Terms take effect constitutes acceptance where permitted by law; when fresh consent is legally required, we will request it.
18. General
These Terms and the Privacy Policy are the entire agreement regarding the Service unless another written agreement applies. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Service. Headings are for convenience only.
